Terms of Service

Last updated: 26 May 2026

About these terms

These terms apply to (a) any use of this website and (b) any services that Convitronix Ltd ("Convitronix", "we") provides. Where a separate written engagement letter, proposal, or service agreement has been signed for a specific piece of work, the terms of that document take precedence over anything stated here.

Website use

The content of this website, including text, branding, logos, images, and code, is owned by Convitronix Ltd or licensed to us. You may view the website for the purpose of considering or arranging an engagement with us. You may not copy, scrape, republish, frame, mirror, or use any part of the site or its content for any commercial purpose without our prior written permission. You agree not to use the website in any way that disrupts it, compromises its security, or attempts to gain unauthorised access to any system associated with it.

Services

Convitronix provides AI automation services, custom web development, and related integration work. Summary descriptions of these services are set out on our home page. The detailed scope, deliverables, and timeline for any engagement are agreed in writing on a per-project basis before work begins.

Payment

Fees are quoted and invoiced under the engagement letter for each project. Invoices are payable within the terms stated on each invoice (typically fourteen or thirty days, depending on the engagement). Card and direct-payment processing is handled by Stripe; bank transfer details are provided on the invoice where applicable.

Audit fees and other fixed up-front fees are non-refundable once the work has commenced, except where required by law.

Where an engagement involves third-party platforms, for example AI model providers, hosting platforms, communication APIs, calendar systems, or payment processors, the client is responsible for maintaining their own subscriptions to those providers and for paying their own usage fees, unless ongoing management of those subscriptions is explicitly included in the engagement scope.

Third-party services and dependencies

Many of the systems we build for clients depend on third-party platforms and APIs that we do not own or control, for example AI model providers, hosting platforms, payment processors, calendar systems, and messaging services. Those providers may change their pricing, modify their interfaces, suffer outages, or discontinue their services at any time. We make commercially reasonable choices when selecting providers, but we are not liable for any loss, interruption, or additional cost caused by changes to or failures of third-party services. Where a change requires rework of a delivered system, the rework is treated as a new engagement and quoted separately.

Confidentiality

Both parties agree to keep non-public information shared during an engagement confidential and to use it only for the purpose of delivering the services. This obligation continues after the engagement ends.

Intellectual property

On full payment, the client owns the bespoke deliverables produced specifically for them under an engagement. Convitronix retains ownership of any pre-existing tooling, frameworks, or general know-how used to produce those deliverables and grants the client a perpetual, non-exclusive licence to use such pre-existing materials as part of the delivered work.

Limitation of liability

Convitronix's total liability under any engagement, whether in contract, tort, or otherwise, is capped at the total fees paid by the client for that engagement. We are not liable for indirect or consequential losses, including loss of profit, loss of business, or loss of data, except where liability cannot be limited by law.

Governing law

These terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute arising from them.
